These Terms govern your use of the Shorja application and platform operated by «Shorja». By creating an account or using the Platform you agree to these Terms in full. If you do not agree, please do not use the Platform.
1. Definitions
"Platform" means the Shorja app and services. "User" is anyone who creates an account or uses the Platform. "Seller" and "Buyer" are the parties to a transaction. "Store" is a seller's business profile. "Representative" is a party providing a service on another's behalf via the Platform. "Auction" is a sale by public bidding.
2. Eligibility
You must be 18 or older and have the legal capacity to contract. By using the Platform you confirm you meet this requirement.
3. Account
You agree to provide accurate, up-to-date information, keep your password confidential, and are responsible for all activity under your account. Notify us immediately of any unauthorised use.
4. Nature of the Platform
Shorja is a technology intermediary enabling sellers to list items and buyers to transact with them. Contracts are formed directly between buyer and seller. We do not own the goods and are not a party to the sale, except to the extent of specific services we provide (such as the wallet or holding funds until a transaction completes). We do not warrant the quality of goods, the accuracy of descriptions, or the parties' ability to perform.
5. Listings
- You warrant that you own the item or have the right to sell it, and that its description and images are accurate and not misleading.
- Listing anything prohibited under the law of the Republic of Iraq, or counterfeit, stolen, dangerous or contrary to public morals is forbidden (including, without limitation, weapons, drugs, prohibited materials and goods infringing others' rights).
- We may refuse, remove or edit any listing that violates these Terms without prior notice.
6. Auctions and Offers
Placing a bid or a purchase offer is a serious and potentially binding commitment. If you win or your offer is accepted, you must complete the transaction on its terms. Fees or security deposits may apply, as explained in the app.
7. Payments, Wallet and Fees
- The wallet enables deposits, withdrawals and in-platform transactions; withdrawals are subject to administrative review and approval.
- We may charge commissions, service fees, storage or delivery fees, shown before you complete a transaction.
- You are responsible for any taxes or government charges due on your transactions. We may change fees in future with reasonable prior notice.
8. Representatives, Resale and Delivery
The Platform may offer representative, resale and delivery services. Each party must perform its role honestly and per the agreed terms. The Platform remains an organising intermediary for these services and does not guarantee their outcomes unless expressly stated.
9. Live Streaming
When using live streaming you agree not to broadcast content that is unlawful, immoral or infringing. We may stop any violating stream, remove its content and act against the account.
10. Ratings and Reviews
Your ratings must be honest and based on a real experience. Fake, coerced or abusive reviews are prohibited and may be removed.
11. Disputes and Refunds
When a dispute arises, it can be opened via the Platform, which may act as an intermediary to facilitate resolution, including holding or refunding funds under our policies. Our decisions within our internal dispute mechanisms are final at the Platform level, without prejudice to your right to seek judicial recourse.
12. Prohibited Conduct
- Fraud, deception, impersonation or providing false information.
- Circumventing fees or moving transactions off-Platform to evade obligations.
- Abuse, harassment, or posting unlawful or spam content.
- Attempting to hack the Platform, undermine its security, or use unauthorised automated means.
13. Intellectual Property
All Platform rights, trademarks, designs and software are owned by us or our licensors. By posting content you grant us a non-exclusive licence to display and use it to operate and promote the Platform, while you retain ownership of your content.
14. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted, error-free operation.
15. Limitation of Liability
To the extent permitted by law, we are not liable for indirect, consequential or incidental damages, nor for the acts of other users or the quality of goods. Our total liability, if any, will not exceed the fees you paid us in the three months preceding the incident.
16. Indemnity
You agree to indemnify and defend us against any claims or losses arising from your breach of these Terms, the law, or others' rights.
17. Suspension and Termination
We may suspend or terminate your account or restrict your access upon violation of these Terms or the law, or to protect the Platform and its users, subject to your existing obligations.
18. Governing Law and Dispute Resolution
These Terms are governed by and construed under the laws of the Republic of Iraq, and the courts of «TO FILL: jurisdiction city, e.g. Baghdad» have jurisdiction over any dispute arising from them, without prejudice to mandatory consumer rights granted by law.
19. Changes to the Terms
We may update these Terms from time to time. For material changes we will notify you in-app and may ask you to accept again before continuing to use the service.
20. General
If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to exercise a right is not a waiver of it. These Terms together with the Privacy Policy constitute the entire agreement between you and us regarding use of the Platform.
